Zirtue Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the products and services provided by Zirtue, Inc. (“Zirtue,” “we,” “us,” or “our”), including our website, mobile applications, software, APIs, and related services (collectively, the “Services”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and all policies incorporated by reference, including the Privacy Policy and any supplemental terms applicable to specific features or payment products. If you do not agree, you must not use the Services.
You represent and warrant that you are at least 18 years old, legally capable of entering into a binding agreement, and authorized to use the payment methods you link to the Services.
2. Changes to These Terms
Zirtue may revise these Terms from time to time. If material changes are made, Zirtue will provide advance notice through reasonable means, including email, in-app notifications, or posting a notice on our website.
Unless otherwise stated, updated Terms will become effective thirty (30) days after notice is provided. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use of the Services prior to the effective date.
3. Description of Services
Zirtue provides a technology platform that enables users to initiate and manage payments to third-party billers and creditors (“Billers”), including:
Bill payment initiation and scheduling
Payment facilitation and money movement on behalf of users
Related financial management tools and features offered from time to time
Zirtue acts solely as a payment facilitation and technology provider.
Zirtue is not a bank, lender, money transmitter, or escrow agent. Zirtue does not hold customer funds.
All banking, payment processing, settlement, and funds movement services are provided by regulated third-party financial institutions, sponsor banks, and payment processors (“Financial Partners”).
Payments initiated through Zirtue are made at the direction of and on behalf of the user, and are transmitted to designated Billers in accordance with the user’s instructions.
4. Account Registration and Security
To access the Services, you must create a Zirtue account and provide accurate, current, and complete information. You agree to promptly update your information as necessary.
You are responsible for safeguarding your credentials and for all activity conducted through your account. You must notify Zirtue immediately of any unauthorized access, suspected fraud, or security incident.
5. Eligibility, Identity, and Verification
You must meet all eligibility requirements applicable to the Services. Zirtue and its Financial Partners may verify your identity, payment methods, transaction activity, and other information as required by:
Applicable laws and regulations
Bank sponsor and payment network rules
Fraud prevention and risk management obligations
Failure to satisfy verification requirements may result in transaction delays, reversals, account restrictions, or termination.
6. Payment Authorization, Agency, and Transaction Processing
By linking a bank account, debit card, or other permitted payment method, you authorize Zirtue and its Financial Partners to initiate debits and credits in accordance with your instructions.
This authorization includes initiating transactions for:
Bill payments to designated Billers
One-time, scheduled, or recurring payments
Funding, payouts, refunds, reversals, and error corrections
You expressly authorize Zirtue to act as your limited agent for the purpose of transmitting payments to Billers you designate. Payments are made on your behalf and for your benefit, and Zirtue does not assume responsibility for the underlying obligation between you and the Biller.
You acknowledge that:
Transaction processing times may vary
Payments are subject to network rules, cut-off times, and verification procedures
A payment may be delayed, rejected, or reversed due to compliance, risk, or technical reasons
7. Fees and Charges
Certain Services may involve fees, which will be disclosed prior to transaction completion. Fees may include service, processing, or convenience fees.
Unless otherwise stated, all fees are non-refundable.
8. Authorized and Prohibited Use
You agree to use the Services only for lawful, authorized purposes. You may not:
Use the Services for fraudulent, deceptive, or unlawful activity
Use the Services to evade legal obligations or payment responsibilities
Attempt to bypass transaction limits, monitoring controls, or safeguards
Interfere with or disrupt the Services or related systems
Zirtue may suspend or terminate access for violations of this section.
9. Compliance, Monitoring, and Audit Cooperation
Zirtue and its Financial Partners may monitor, review, delay, block, or decline transactions to:
Comply with applicable laws and regulations
Meet bank sponsor, network, or regulatory requirements
Prevent fraud, misuse, or financial crime
Manage operational and reputational risk
You agree to:
Provide accurate information upon request
Cooperate with compliance reviews, audits, investigations, or legal inquiries
Authorize Zirtue to share relevant account, transaction, and payment data with Financial Partners, regulators, auditors, and law enforcement as required or permitted by law
Failure to cooperate may result in account suspension or termination.
10. Third-Party Billers and Payment Relationships
The Services involve third-party Billers and service providers that are independent of Zirtue.
Zirtue does not:
Guarantee Biller performance, service quality, or billing accuracy
Control how or when a Biller applies a payment
Resolve disputes regarding goods, services, or underlying obligations
You acknowledge that:
Payments are sent to Billers based on information you provide
Posting times and payment crediting are determined solely by the Biller
Any disputes regarding amounts owed, refunds, service issues, or billing errors must be resolved directly with the Biller
Zirtue’s responsibility is limited to transmitting payment instructions in accordance with these Terms.
11. Privacy and Data Use
Your use of the Services is governed by Zirtue’s Privacy Policy. By using the Services, you consent to the collection, use, storage, and sharing of information as described therein, including sharing with Financial Partners and service providers for payment processing, compliance, auditing, and risk management.
12. Intellectual Property
All content, software, trademarks, and intellectual property associated with the Services are owned by Zirtue or its licensors. You are granted a limited, non-exclusive, revocable license to use the Services solely for their intended purpose.
13. Disclaimers
The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Zirtue disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, Zirtue shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Zirtue’s total liability for any claim shall not exceed the greater of $100 or the total fees paid by you to Zirtue in the preceding twelve (12) months.
15. Indemnification
You agree to indemnify and hold harmless Zirtue and its officers, directors, employees, Financial Partners, and service providers from any claims, damages, losses, or expenses arising from:
Your use of the Services
Payments made on your behalf
Your relationship or dispute with any Biller
Your violation of these Terms or applicable law
16. Dispute Resolution and Arbitration
Any dispute arising from these Terms or the Services shall be resolved by binding individual arbitration, except where prohibited by law. You waive any right to participate in class or representative actions.
17. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
18. Suspension and Termination
Zirtue may suspend or terminate access to the Services at any time for compliance, legal, or risk-related reasons, including violations of these Terms or partner requirements.
19. Notices and Communications
You consent to receive communications electronically, including via email, in-app notifications, or website postings.
20. Miscellaneous
These Terms constitute the entire agreement between you and Zirtue regarding the Services. If any provision is deemed unenforceable, the remaining provisions will remain in effect.
